These Terms & Conditions and Video Content License ("Terms") govern your access to and use of the Video Clip Vault website, digital video library, and related products and services operated by Video Clip Vault LLC ("Video Clip Vault," "we," "us," or "our").

By accessing our website, creating an account, purchasing access to our video library, downloading video content, or otherwise using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not purchase, access, download, or use our services or video content.

1. Description of the Service

Video Clip Vault provides access to a digital library of video clips, animations, footage, and other digital media ("Video Content") for use in creative projects.

The product currently offered as Video Library Access provides the purchaser with access to the Video Clip Vault library subject to these Terms and the license restrictions described below.

Video Clip Vault may add, remove, replace, modify, or reorganize Video Content and may change the features, functionality, or availability of the website or library from time to time.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to purchase or use Video Library Access. By purchasing or using the service, you represent that you have the legal capacity to enter into these Terms.

3. Account Registration

Certain features of Video Clip Vault may require you to create an account. You are responsible for providing accurate information and for maintaining the confidentiality of your account credentials.

You are responsible for activity occurring through your account. You agree not to share your account credentials or permit another person to access your account except as expressly permitted by these Terms.

4. Purchase and Payment

Video Library Access is offered for the price displayed on the Video Clip Vault website at the time of purchase. Payments are processed through our third-party payment processor, Lemon Squeezy. Payment processing may also be subject to Lemon Squeezy's terms and policies.

Your purchase is complete when payment has been successfully processed and the applicable purchase confirmation has been issued.

5. Access to the Video Library

After a successful purchase, eligible customers may receive access to the Video Clip Vault library through their account. Access is provided to the purchaser for the purchaser's own use and is subject to these Terms.

Video Clip Vault LLC does not guarantee that the website or library will be available without interruption. Maintenance, technical problems, security issues, third-party service interruptions, or circumstances outside our reasonable control may temporarily affect availability.

6. Video Content License

Subject to your compliance with these Terms and successful completion of your purchase, Video Clip Vault LLC grants you a non-exclusive, non-transferable, worldwide license to download and use Video Content obtained through the Video Clip Vault library in accordance with these Terms.

The license permits you to incorporate Video Content into your own creative works, including videos, advertisements, social media content, websites, presentations, promotional materials, educational materials, films and other audiovisual projects, commercial projects, and other original creative works.

You may modify, edit, crop, resize, recolor, combine, overlay, animate, or otherwise incorporate the Video Content into your own projects. The license is intended to allow you to use Video Content as part of a larger creative work.

7. What You May Not Do

Unless Video Clip Vault LLC gives you written permission, you may not:

1. Resell, redistribute, sublicense, lease, rent, or otherwise make Video Content available to another person as a standalone digital asset.
2. Upload Video Content to another stock-media website, marketplace, library, archive, repository, or similar service for redistribution.
3. Create a competing stock-video library or substantially similar downloadable media collection using Video Content obtained from Video Clip Vault.
4. Give away or distribute Video Content as standalone files to customers, clients, friends, followers, or other third parties.
5. Use Video Content in a way that suggests that you own the underlying copyright in the Video Content.
6. Claim that you personally created Video Content that you obtained from Video Clip Vault.
7. Use Video Content in connection with unlawful, defamatory, fraudulent, or otherwise illegal activities.
8. Attempt to circumvent technical safeguards or other measures designed to protect the Video Clip Vault library.
9. Share your Video Clip Vault account credentials for the purpose of allowing another person to obtain unauthorized access to the library.
10. Use automated systems, scraping tools, bots, or other methods to systematically download or copy a substantial portion of the library.

8. Client and Commercial Projects

You may use properly licensed Video Content in projects that you create for clients or customers, provided that the Video Content is incorporated into the finished project and is not provided to the client or customer as a standalone downloadable asset.

For example, you may use Video Content in a video advertisement that you create for a client. You may not provide the original Video Content file to the client as a standalone stock asset unless Video Clip Vault LLC has expressly authorized such use in writing.

9. Ownership and Copyright

Video Clip Vault LLC and/or its licensors retain all rights, title, and interest in and to the Video Content except for the limited license expressly granted to you under these Terms.

Your purchase does not transfer ownership of the underlying copyright or intellectual property rights in the Video Content to you.

10. Nature of the Video Content

Video Clip Vault may describe certain Video Content using terms such as "copyright-free," "royalty-free," or similar terminology. Such descriptions do not mean that you acquire ownership of the underlying copyright.

The specific license granted by these Terms controls your permitted use of Video Content. Where particular Video Content is subject to additional licensing restrictions, attribution requirements, third-party rights, or other limitations, those additional restrictions may apply and will take precedence over conflicting general provisions of these Terms.

11. Third-Party Rights

You are responsible for determining whether your intended use of Video Content requires additional permissions, licenses, releases, or clearances. Video Clip Vault LLC does not guarantee that every Video Content item is appropriate for every possible use.

Video Content may contain recognizable people, trademarks, logos, locations, property, artwork, or other elements that may be subject to separate rights. You are responsible for obtaining any additional rights required for your particular use when applicable.

12. Prohibited Uses

You may not use Video Content or the Video Clip Vault service to facilitate unlawful activity or in a manner that violates applicable laws or regulations.

You may not use Video Content in a manner that falsely implies endorsement, sponsorship, or affiliation by Video Clip Vault LLC or any person, company, brand, or organization depicted in the Video Content.

13. Refunds

Refunds are handled according to the refund policy presented at the time of purchase and any applicable requirements of our payment processor. Because Video Library Access provides access to digital content and downloadable digital files, obtaining access to or downloading Video Content may affect refund eligibility where permitted by applicable law.

Nothing in this section limits any refund rights that cannot legally be waived.

14. Termination and Suspension

Video Clip Vault LLC may suspend or terminate your account or access to the service if you materially violate these Terms, engage in unauthorized redistribution of Video Content, attempt to circumvent security measures, commit fraud, or otherwise misuse the service.

If your access is terminated because of your violation of these Terms, you must stop accessing the Video Clip Vault library and may not create another account for the purpose of circumventing the termination.

15. Website and Service Availability

Video Clip Vault LLC attempts to keep its website and services operational and accessible but does not guarantee uninterrupted or error-free availability. The service may occasionally be unavailable because of maintenance, updates, technical failures, hosting-provider issues, payment-provider issues, security events, or circumstances beyond our reasonable control.

16. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Video Clip Vault website, service, and Video Content are provided on an "as is" and "as available" basis.

Video Clip Vault LLC makes no guarantee that the service will meet every user's particular requirements or that the website will always operate without interruption or error. Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

17. Limitation of Liability

To the maximum extent permitted by applicable law, Video Clip Vault LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the website, service, or Video Content.

To the maximum extent permitted by applicable law, the total liability of Video Clip Vault LLC arising from your use of the service or Video Content will not exceed the amount you paid to Video Clip Vault LLC for the applicable product or service giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

18. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Video Clip Vault LLC and its owners, officers, employees, contractors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from your unlawful use of the service, your violation of these Terms, or your violation of another person's rights.

19. Changes to These Terms

Video Clip Vault LLC may update these Terms from time to time. When changes are made, we may update the Effective Date shown at the beginning of these Terms. Your continued use of the service after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

20. Privacy

Your use of Video Clip Vault is also subject to our Privacy Policy, which describes how we collect, use, and protect personal information.

21. Governing Law

These Terms will be governed by and interpreted according to the laws of the state in which Video Clip Vault LLC is organized, without regard to conflict-of-law principles, except to the extent that applicable law requires otherwise.

22. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect to the extent permitted by law.

23. Entire Agreement

These Terms, together with any applicable product-specific terms, the Privacy Policy, and any other written agreements expressly incorporated into these Terms, constitute the agreement between you and Video Clip Vault LLC concerning your use of the service.
